This User Agreement (“Agreement”) Terms of Use sets out the terms, conditions and policies that govern the use of PROFILO (“Sparsh Creative Links”). By signing up for PROFILO or by using our webpage, including our services or any content or information which is provided as a part of Sparsh Creative Links, you acknowledge that you have read and understood all the terms, conditions and policies governing PROFILO, which includes without limitation the terms of this Agreement, PROFILO’S Privacy Policy and other Agreements, and that you agree to be bound by all of its provisions. If you are using PROFILO on behalf of a firm/enterprise or another legal entity (“Company”), you are nevertheless individually bound by the terms, conditions and policies governing Sparsh Creative Links even if your Company has a separate agreement with us. If you do not agree to the terms of this Agreement (as may be updated from time to time), you may not sign up for PROFILO or access, view, or otherwise use PROFILO web page, content, information or services or may close your existing PROFILO Account.

Please read these terms and other policies carefully. These Website Terms of Use, Disclaimer and Privacy Policy, as may be amended from time to time ("Agreement") constitutes a legal agreement between you, either an individual or an entity ("You", "Your", "Yourself" or "User") and Sparsh Creative Links. ("We", "Us", or "Company")

Scope of this Agreement

Our offerings may encompass several services and communication mediums.
Using these mediums and services you agree to abide by the terms mentioned for each service.

You agree that by using PROFILO, including our, developer platform*, premium services*, or any other content/information provided as part of the Services (*as and when available), you are entering into a legally binding Agreement with Sparsh Creative Links and you agree to be bound by the terms of this Agreement. You acknowledge that you have read and understood the terms and conditions of this Agreement and that you agree to be bound by all of its provisions.

This Agreement is applicable to all the Services available on PROFILO. You accept further terms and conditions of service for each such Service, if any, which may be updated or modified by PROFILO from time to time. These terms and conditions of service can be found in the page of PROFILO where you will avail of any Service(s) or offer or participate/register for special promotions. You agree to abide by such terms and conditions of service, including payment of amount when due and comply with all rules and restrictions regarding the availability of services or offers set out therein. Such terms and conditions of service shall be deemed to be a part of this Agreement and in the event of a conflict between such terms and conditions of service and this Agreement, the terms of this Agreement shall prevail. For avoidance of doubts, it is clarified that availing of the Services by the Member constitutes an acknowledgement and acceptance by the Member of this Agreement and the terms and conditions of service.

Your Obligations/Member Responsibility
1.1 Personal Use of our Services

Use of our services is restricted to you and your Company as outlined in this Agreement only. You may use the Service(s) to the extent that you represent and warrant that you have the legal authority to agree to and accept this Agreement on behalf of your Company. We reserve the right to cancel any or all of the Services at any time at our sole discretion without any notice or liability to you or any other person.
Elements of the Service are protected by the applicable laws. PROFILO logo services referenced herein are licensed trademark. All other Company names, marks, logos, and symbols used in the Services may be the trademarks of their respective owners and may be protected by copyrights, trademarks, or other intellectual property rights and other applicable laws. You may use PROFILO only for lawful purposes and perform no illegal actions, which may harm Sparsh Creative Links, in any way.

1.2 Registering (sign up) with PROFILO

A Member joins PROFILO and creates their profile on PROFILO.

Registering with PROFILO provides you access to a host of services and benefits.

You will provide true and accurate information about yourself and your Company.

As a part of the Sign Up process, you will create your Account by providing your mobile number and the OTP where you will get the passwords while sign up as well as every time you sign in directly to the platform or via third-party sites (including but not limited to Face book, Google). This will allow a ‘single sign up’ to all of PROFILO functions, except those that require additional authentication and it is your responsibility to exercise caution while selecting and managing your PROFILO single sign-in credentials.

Only verified members will have access to PROFILO and all features. Until then, members will have limited access to their accounts and prompted to complete the ‘membership’ process to gain complete rights.

PROFILO is not responsible for the loss or compromise of your sign-in credentials or for any other unauthorized access. You must also provide PROFILO with accurate, complete, and updated registration information. Failure to do so will mean a violation of the terms of this Agreement. You understand that you may not (1) select or use a name of another person with the intent to impersonate that person; or (2) use a name that we, in our sole discretion, deem offensive.

PROFILO may in its discretion at any time require proof of identity of any person seeking to access and use PROFILO, and may deny access to it or parts of it or refuse to accept or act upon any communication if PROFILO is not satisfied with such proof. Additionally, PROFILO also reserves the right to remove or reclaim a Username if we believe it is appropriate.

1.3 Account Security

Your Account may also include billing information you provide to us for the purchase of Subscriptions, for pre-orders or for faster future purchases. You are solely responsible for all activities on your Account and for the security of your computer system. You may not reveal, share or otherwise allow others to use your password or Account. You agree that you are personally responsible for the use of your password and Account and for all of the communication and activities those result from use of your login name and password. You may not sell or charge others for the right to use your Account, or otherwise transfer your Account, nor may you sell, charge others for the right to use, or transfer any Subscriptions other than if and as expressly permitted by these Terms of Sale. Keep your Account secure by not sharing your OTP to anybody. In addition you must not share your Account details and keep it confidential, and take all measures to keep your sign in credentials confidential.
Since you are responsible for all usage or activities that occur while using your password or Account on PROFILO, distribution of your access password to PROFILO to others is expressly and strictly prohibited and shall constitute a violation of this Agreement. Any fraudulent, abusive, or otherwise illegal activity may be sufficient ground for termination of your membership with PROFILO, at our sole discretion, and you may be referred to appropriate law enforcement agencies. PROFILO will not be liable for any loss that may be incurred by you as a result of unauthorized use of your password or Account, either with or without your knowledge. You shall not use anyone else's password at any time. PROFILO is not under any obligation to verify the actual identity or authority of any person using the mobile number and password to access and use PROFILO and may act upon any communication that is given with the use of the password.
(a)You shall notify us by e-mail at support@sparshprofilo.com of any known or suspected unauthorized use(s) of your membership, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information or any other information.
(b) You will be responsible for maintaining the confidentiality of your password. You never will be required to reveal your password to any representative or agent of PROFILO, its owners or agents or other Members.

1.4 Services Access

Ways and reasons under which your access to services on PROFILO may be restricted or affected. If you are leaving or are no longer a part of the concerned Company which has created Profilo’s as a corporate package, you agree to discontinue association with the Company Account on PROFILO or consent to be removed from the said Company Account on PROFILO. In case you are the Company Admin, you will transfer your Admin rights before closing your Account. By doing so all features, benefits will not be available for access until you are associated with another Company Account on PROFILO.
In case you choose to reauthorize third-party sites to log in to your PROFILO account, your details continue to remain with us and you may need to reset your access credentials to continue using your account on PROFILO.
In case, you choose to close your Account; your Company Admin removes you from your current Company Account, you and the Company Admin agree that by closing your Account, all information, files, content, profile and other content will be deleted from PROFILO.

1.5 Content Submission on PROFILO

Content submitted by you should not be in breach of any copyright or intellectual property rights. As part of its Service, PROFILO allows Members to receive messages on PROFILO, job boards, meeting fix up, feedback, quotations to ask and answer questions to other Members, and to upload photos, files, information, logos and editorial matter to their Company Profile. PROFILO claims no ownership rights in any content, editorial matter, image or file uploaded to the Service by you. For the sole purpose of displaying your files/information/profile/content to recipients, including those designated by you, you grant to PROFILO a perpetual, non-exclusive, royalty-free license to copy and/or distribute these through the Service(s) and when you post content or comment or reply to a comment/question, you permit PROFILO to display and distribute the content, and to use it for advertising and promotion.
You agree to submit only content (including but not limited to, images, or any other content) owned by you and that will not violate the property or other rights of other people or organizations. You hereby acknowledge that content, including images, even if submitted to a site/forum/association of which you are a member, but belongs to the creator or author of the content and you should not reproduce it without permission of the creator or author. (For example, you may not upload an image of your products unless you have the permission of the photographer who has taken the picture - this is because, although you may have physical ownership of the print or graphic file, the copyright is owned by the person who created the image.) You agree that the content you post do not offend any section on grounds of gender, caste and other socio-economic sensitivities, and the language and images used as a part of such contributions shall be professional without the use of any slander, expletives or foul language.

2 PROFILO Offerings & Responsibility
2.1 Charges & Payments

For paid services, you will be bound by an additional Agreement with PROFILO. Services will be provided on PROFILO ("Sparsh Creative Links"), where service selection and payment will be completed on PROFILO. PROFILO reserves the right to charge for membership fees and further reserves the right to initiate, alter any and all fees from time to time, without notice. We may change our fees at any time by posting a new pricing structure to our Website and/or sending you a notification by email. If the fees structure changes, your current plan will continue till expiration and/or you will be provided with an option to upgrade. All payments are routed/ completed through PROFILO’s payment gateway service. You offer your consent for PROFILO to collect, process, facilitate and remit payments through the third party payment gateway. All payments on PROFILO will be accepted in Indian Rupees only. All payments made are governed by the terms of the payment gateway. Members agree to use valid instruments issued by their banks/payment systems to complete payments. Where and when applicable, you authorize Third party payment gateways to use the payment details provided, for renewal of your service as per agreed terms. Use of the payment facility shall not render PROFILO liable or responsible for the non-payment, breach of representations and warranties, non-provision of after sales or warranty services or fraud as regards the products and /or services featured or offered on PROFILO. If your account has been fraudulently accessed and a payment is completed please contact the respective Payment gateway team on email. All payments may not be fulfilled on PROFILO. To expedite future payments and provide ease of use of information, Third party payment gateways may also store your billing information (card and address information for payments) with the provider of the service. All after services will be governed by the providers of such services from where you have made the purchase.

2.2 Cancellations & Refunds
User must read all terms and conditions properly, there is no any provision of refund of the paid amount to create Profilo, users are allowed to make a request to cancel and cease use of an account anytime for any reasons if the user feels unhappy with our service, please email us on: admin@sparshprofilo.com and provide your username with payment reference number, accordingly we terminate your access to an Account. However, Accounts are not transferable. Upon cancellation or otherwise, you may request that your data be destroyed. The destruction of your data will follow the terms of our Privacy Policy. We'd also love to hear your feedback on what we could do to improve the service!
3. Profilo Privacy Policy
3.1 Confidential Information & Your Privacy

We respect and value your privacy, hence have created a privacy policy to safeguard your interests PROFILO has a firm commitment to safeguarding your privacy. Please review PROFILO's Privacy Policy. The terms of PROFILO's Privacy Policy are considered part of, and are hereby incorporated by reference into this Agreement.

At Profilo our mission is to improve people’s lives with the world’s best Information Sharing, providing a platform to help you get from point A to point B. To do that, we need to collect, use, and share some of your personal information. This Privacy Policy is meant to help you understand how Profilo does that and how to exercise the choices and rights you have in your information.

3.2 The Scope of This Policy

This policy applies to all Profilo users, including Customers and Businessman, and to all Profilo platforms and services, including our apps, websites, features, and other services (collectively, the “Profilo Platform”). Please remember that your use of the Profilo Platform is also subject to our Terms of Service.

3.3 The Information We Collect

When you use the Profilo Platform, we collect the information you provide, usage information, and information about your device. We also collect information about you from other sources like third party services, and optional programs in which you participate, which we may combine with other information we have about you. Here are the types of information we collect about you:

4. Information You Provide to Us

Account Registration. When you create an account with Profilo, we collect the information you provide us, such as your name, email address, phone number and payment information. You may choose to share additional info with us like your photo or saved addresses (e.g., home or work)

4.1 User Information:

If you create your Profilo, we will collect the information you provide in your application, including your name, email address, phone number, profile photo, physical address. We collect the payment information you provide us, including your bank routing numbers.

4.2 Ratings and Feedback:

When you rate and provide feedback about Profilo, we collect all of the information you provide in your feedback.

4.3 Communications:

When you contact us or we contact you, we collect any information that you provide, including the contents of the messages or attachments you send us.

Information We Collect When You Use the Profilo Platform

4.4 Location Information:

The Profilo Platform collects location information differently depending on your Profilo app settings and device permissions as well as and the information varies while using the platform as a Standard user or Premium user

4.5Usage Information:

We collect information about your use of the Profilo Platform, including usage information like the date, time, destination, payment, and whether you used a promotional or referral code. We also collect information about your interactions with the Profilo Platform like our apps and websites, including the pages and content you view and the dates and times of your use.

4.6 Contact history:

We work with a third party to facilitate phone calls and text messages between Businessman and Customers where sharing either party’s actual phone number with each other are an obvious process as it is a platform for information sharing. We collect information about these communications, including the participants’ phone numbers, the date and time, and the SMS messages

4.7 Contact/Phone book details:

You may set your device permissions to grant Profilo access to your contact lists and direct Profilo to access your contact list, when you click on add to contact button on Profilo the contact details of that particular Profilo holder will be downloaded in your phone details; for example to help you refer friends to Profilo. If you do this, we will access and store the names and contact information of the people in your address book.

4.8 Cookies, Analytics, and Third Party Technologies:

We collect information through the use of “cookies”, tracking pixels, data analytics tools like Google Analytics, SDKs, and other third party technologies to understand how you navigate through the Profilo Platform and interact with Profilo advertisements, to make your Profilo experience safer, to learn what content is popular, to improve your site experience, to serve you better ads on other sites, and to save your preferences. Cookies are small text files that web servers place on your device; they are designed to store basic information and to help websites and apps recognize your browser. We may use both session cookies and persistent cookies. A session cookie disappears after you close your browser. A persistent cookie remains after you close your browser and may be accessed every time you use the Profilo Platform. You should consult your web browser(s) to modify your cookie settings. Please note that if you delete or choose not to accept cookies from us, you may miss out on certain features of the Profilo Platform.

4.9 Information We Collect from Third Parties

Third Party Services: Third party services provide us with information needed for core aspects of the Profilo Platform, as well as for additional services, programs, loyalty benefits, and promotions that can enhance your Profilo experience... We obtain the following information about you from these third party services:

4.10 Information to make the Profilo Platform safer

Information to operate loyalty and promotional programs, such as information about your use of such programs; and Information about you provided by specific services, such as demographic and market segment information.

4.11 Enterprise Programs:

If you use Profilo through your employer or other organization that participates in one of our Profilo Business enterprise programs, we will collect information about you from those parties, such as your name and contact information.

4.12 Concierge Service:

Sometimes another business or entity may create a Profilo for you with your prior consent. If an organization has created Profilo for you using our Concierge service, they will provide us your contact and other information.

4.13 Referral Programs:

Friends help friends use the Profilo Platform. If someone refers you to Profilo, we will collect information about you from that referral including your name and contact information.

5 How We Use Your Information
5.1 We use your personal information to:

Provide the Profilo Platform, Build and maintain the Profilo community, Provide customer support, Improve the Profilo Platform and to Respond to legal proceedings and obligations. We use your personal information to provide an intuitive, useful, efficient, and worthwhile experience on our platform. To do this, we use your personal information to verify your identity and maintain your account, settings, and preferences, connect you to the Profilo network and track its progress, to

Calculate prices and process payments, to Allow Customers and Businessman to connect each other regarding their business and to share their information, Products and location with others, Collect feedback regarding your experience, Facilitate additional services and programs with third parties.

We always try to provide you a secure and safe experience on our platform, both on the web and on our app. To do this, we use your personal information to:

Authenticate users, Encourage safe usage and avoid unsafe activities, Find and prevent fraud and

Block and remove unsafe or fraudulent users from the Profilo Platform.

5.2 We use your personal information to:

Communicate with you about events, promotions, and campaigns;

Personalize and provide content, experiences, communications, and advertising to promote and grow the Profilo Platform.

5.3 Providing Customer Support:

We work hard to provide the best experience possible, including supporting you when you need it. To do this, we use your personal information to:

Investigate and assist you in resolving questions or issues you have regarding the Profilo Platform and

Provide you support or respond to you.

5.4 Improving the Profilo Platform:

We are always working to improve your experience and provide you with new and helpful features. To do this, we use your personal information to Perform research, testing, and analysis, Develop new products, features, partnerships, and services, Prevent, find, and resolve software bugs and issues, Monitor and improve our operations and processes, including security practices, algorithms, and other modeling.

5.5 Responding to Legal Proceedings and Requirements:

Sometimes the law, government entities, or other regulatory bodies impose demands and obligations on us with respect to the services we seek to provide. In such a circumstance, we may use your personal information to respond to those demands or obligations.

5.6 How We Share Your Information

We do not sell your personal information. To make the Profilo Platform work, we may need to share your personal information with other users, third parties, and service providers. This section explains when and why we share your information.

Sharing Between Profilo Users

5.7 Businessman and Customer:

Every Profilo user’s information upon creating and sharing the Profilo link will be shared with the user with location, name, profile photo, contact numbers, bank account details, mail id and other Products, Services and business information.

5.8 Referral Programs:

If you refer someone to the Profilo Platform, we will let them know that you generated the referral. If another user referred you, we may share information about your use of the Profilo Platform with that user. For example, a referral source may receive a bonus when you join the Profilo Platform or complete a certain number of shares and would receive such information.

5.9 PROFILO’s Communication with its Members and Users

Messages from PROFILO may not be copied or used by you other than for the reason they were meant All messages in any communication (including but not limited to emails, notifications, alerts, reminders, SMSs, messages) with users and Members is intended only for the person or entity to which it is addressed and may contain confidential and/or privileged information. You are strictly prohibited to perform unauthorized reviews, use, re-transmit, disseminate copy, disclose or make other use of, or take any action in reliance upon this information. If you have received these messages in error, please notify the sender immediately and delete the said message from your system. Reasonable precautions have been taken to ensure that these messages are virus-free.

6 Content Monitoring

We do not monitor content on PROFILO, but will not hesitate to remove any material if it violates the letter or spirit of this Agreement, PROFILO does not actively monitor a Member's uploaded files, Restriction on use of third party copyrighted images, text, audio, video or any other content without appropriate written permission for respective owner/entity. Company Profiles, and other material nor does PROFILO exercise any editorial control over the content of any material that the Member uploads on PROFILO. However, PROFILO reserves the right to remove any and/or all of the Member's material from PROFILO that are in its sole discretion, potentially illegal, a violation of trademark and/or copyright, obscene, indecent, defamatory, incites racial or ethnic hatred, violates the rights of others or otherwise violates the acceptable use policy stated below in this Agreement. Upon removal of the material, PROFILO may notify the Member of the removal of the materials, as well as the reason for removal. In no instance shall PROFILO be liable for the removal of the materials. PROFILO reserves the right to immediately terminate its Service to Member and cancel his/her membership for any flagrant or repeat violations of this Agreement.

7 Terminations & Involuntary Closure
7.1 Mutual rights of termination

You and PROFILO both have the right to terminate this Agreement You may terminate this Agreement, for any or no reason, at any time, with notice to PROFILO. This notice will be effective upon PROFILO duly receiving your notice. PROFILO may terminate this Agreement for any reason or no reason, at any time, with or without notice. This cancellation shall be effective immediately or as may be specified in the notice. For avoidance of doubt, only PROFILO or any third party paying for the Services may terminate your access to any Services. Termination of your PROFILO Account includes disabling your access to PROFILO and may also bar you from any future use of PROFILO.

7.2 Involuntary Termination

Conditions due to which Accounts on PROFILO may be terminated Without prejudice to the other remedies available to PROFILO under this Agreement, the Terms of services or under applicable law, PROFILO may immediately temporarily/indefinitely restrict, suspend or terminate the Account of any Member and/or refuse to provide the Member with access to PROFILO who abuses or misuses the Services or PROFILO is unable to verify or authenticate any information provided by the Member. Misuse of the Services includes abusing the services; creating multiple or false Member and Company profiles; using the Services commercially without authorization, infringing any intellectual property rights, or any other behavior that PROFILO, in its sole discretion, deems contrary to its purpose. PROFILO may at any time in its sole discretion reinstate suspended Members. Once the Member has been indefinitely suspended, the Member shall not register or attempt to register with PROFILO or use PROFILO in any manner whatsoever until such time that the Member is reinstated by PROFILO. One unique Company Account should be created/ registered with PROFILO Duplicate Company Accounts are not allowed to be created. In case of request for multiple Accounts in the same name the first Account registered/signed up with PROFILO may be created/retained.

7.3 Dormancy

Membership in PROFILO may be terminated, and Member Account may be closed / removed if Member has not signed in to PROFILO for a period of 180 days.

7.4 Death & Insolvency

On death of a Member, closure of a Company or insolvency of a Member/Company, the respective Account will be closed / terminated, on PROFILO’s discretion and/or availability of appropriate evidence of such occurrence/event.

7.5 Effect of Termination

You will lose access to all services when an Account is terminated

Upon the termination of your PROFILO Account, you lose access to all Services offered on PROFILO.

8 Laws, Disputes & Arbitration
8.1 Compliance with Laws

You must comply with all applicable laws you agree to comply with all applicable laws, rules, and regulations in connection with your activities under this Agreement,

8.2 Governing Law

Any legal dispute shall be subject to the exclusive jurisdiction of Satara court. This Agreement shall be governed by and construed in accordance with the laws of India. Any claim, cause of action or dispute (“claim”) arising out of or related to this Agreement shall be determined by the competent courts at Satara only.

8.3 Co-operation with Law

There are Restrictions on use of the contact information for any illegal, unlawful or unauthorized purposes: Restriction on use the contact Details for harassment, violence etc. which may endanger other users. Restriction on use of third party copyrighted images, text, audio, video or any other content without appropriate written permission for respective owner/entity.
PROFILO will cooperate with applicable laws and authorities as required PROFILO will cooperate with any and all appropriate legal authorities in investigating claims of illegal activity, including, but not limited to, illegal transfer or use of copyrighted material or other illegal activity. PROFILO reserves the right to monitor or view material uploaded by Members on PROFILO at any time for the purpose of ensuring compliance with this Agreement.

8.4 Non-acceptable Actions on PROFILO

You may not use PROFILO for unlawful and abusive purposes. Incidents and uses that may cause your Account with PROFILO to be terminated include, but are not limited to:
1. Use of PROFILO and/or the Services in any manner prohibited (both express and implied) by this Agreement and/or the relevant TOS.
2. Uploading or transmission of any data or material that contains trojans, worms, viruses or any code of a destructive or spying nature, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware or host or network.
3. Use the Contact Information for any illegal, unlawful or unauthorized purposes
4. Use the contact Details for harassment, violence etc. which may endanger other users.
5. Use of third party copyrighted images, text, audio, video or any other content without appropriate written permission for respective owner/entity.
6. Removing any proprietary notices or label on any Content, or using the Service in conjunction with any device or service designed to circumvent technological measures employed to control access to, or the rights in, any Content or other work protected under copyright laws.
7. Uploading or transmission of any file or content that harm minors in any way, including any form of child pornography. Restriction on showcase of any offensive images, videos of Pornography
8. Uploading or transmission of any file or content that spreads messages of terror or depicts torture or death-images.
9. Uploading or transmission of files intended to threaten or harass any individual or organization.
10. Using the Service for any purpose other than which it is intended.
11. Using the Service for submission, generation or inclusion of unsolicited bulk email or other forms of email abuse (i.e. SPAM).
12. Using the Service for advertising, trading of goods or services, or other commercial use except as permitted by PROFILO.
13. Uploading any programs that may cause a disruption to the Service or PROFILO.
14. Any action that violates the laws of applicable local, state, federal or international governmental bodies.
15. Sharing the Account with anyone or re-selling the Service without written permission from PROFILO.

9 Miscellaneous
9.1 No Professional Advice

We do not promote any content by other Members. You must aim to seek professional advice at all times about Content available on PROFILO, including, without limitation, reviews, opinions, directions, guides are not a substitute for any type of professional advice, including, without limitation, financial or legal advice. Always seek the advice of an appropriate professional/expert opinion and never disregard professional advice or delay in seeking it because of the Content. PROFILO does not certify or endorse the Content on its webpage/App, including and without limitation any opinion, recommendation, advice, or any other information contained in the Content.

Our terms will be updated on a regular basis and PROFILO reserves the right, at its sole discretion, to update, add, remove, change, modify, revise the terms of this Agreement from time to time without prior notice on an as-needed basis by placing an update of this Agreement online at PROFILO at this location or at any other designated location at PROFILO. Revisions/changes to this Agreement will be effective when posted on PROFILO; however, you shall be responsible for regularly reviewing the terms of this Agreement. By using PROFILO after any revision of the terms of this Agreement, you agree to be bound by such changes/revisions. This Agreement creates a binding legal Agreement, so please read the same carefully. If you do not agree to these changes/revisions, you must immediately discontinue using PROFILO.
